You are reading tos-2026-10, the version in effect until November 22, 2026. Read tos-2026-11.

Effective date: October 11, 2026 · Version: tos-2026-10

These Terms of Service ("Terms") are an agreement between you and [Company legal name pending LLC formation], a Tennessee (formation pending) limited liability company doing business as Inkpacket ("Inkpacket," "we," "us"), 272 Old Shackle Island Rd, Hendersonville, TN 37075. They govern your use of inkpacket.com and the Inkpacket electronic-signature service (the "Service").

PLEASE READ SECTION 17. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, WAIVES CLASS ACTIONS AND JURY TRIALS, AND EXPLAINS HOW TO OPT OUT WITHIN 30 DAYS.

By creating an account, sending a document, or signing a document through the Service, you agree to these Terms. If you use the Service for an organization, you agree for that organization and confirm you have authority to bind it. In that case "you" means the organization.

1. Eligibility and accounts

You must be at least 18 and able to form a binding contract. Provide accurate information and keep it current. You are responsible for your credentials and for all activity under your account. Tell us promptly at support@inkpacket.com if you suspect unauthorized use. Workspace owners and admins control membership and roles in their workspace.

2. Signers

People who receive a signing link ("Signers") don't need an account. A Signer's use of the Service is also governed by the electronic records and signature disclosure shown before signing (/esign) and by Sections 5, 11, 12, 15 and 17 of these Terms.

3. Acceptable use

You will not use the Service to: (a) break any law or regulation, or infringe or misappropriate anyone's rights; (b) send documents you have no right to send, or impersonate any person; (c) send spam, phishing, fraud, or deceptive content; (d) upload malware or interfere with the Service, its security, or its rate limits; (e) access another workspace's data, or probe or scan for vulnerabilities without our written permission; (f) scrape, resell, sublicense, or reverse engineer the Service, except where the law allows it; (g) collect payment-card numbers, bank account numbers, or government ID numbers through document fields unless the law allows it and you have a lawful basis; or (h) upload or collect Protected Health Information, as described in Section 4. We may remove content or suspend accounts that break this section.

4. No protected health information (PHI); no BAAs

The Service is not designed to meet HIPAA requirements. You may not upload, send, or collect "protected health information" as defined under the Health Insurance Portability and Accountability Act of 1996 and its regulations (HIPAA) through the Service. Inkpacket does not enter into Business Associate Agreements. If you are a HIPAA covered entity or business associate, you are responsible for making sure no PHI enters the Service. You must also follow any state law that limits health or medical information. If PHI is uploaded in breach of this section, you will delete it promptly, and we may delete it. Inkpacket has no HIPAA obligations for it.

5. Electronic signatures; your responsibility for documents

5.1 The Service lets parties sign electronically under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and state laws based on the Uniform Electronic Transactions Act (UETA). Inkpacket provides the signing tool and the audit trail. We are not a party to your documents and we don't give legal advice. 5.2 You (the sender) are solely responsible for: the content of each document; whether an electronic signature, electronic delivery, and electronic record-keeping are legally valid and enough for that document in each place it applies; any required consumer disclosures, consents, wording, font size, timing, notarization, witnessing, registration, or filing; and keeping records for as long as the law requires. 5.3 Excluded documents. Don't use the Service for documents that ESIGN or UETA exclude, or for which the law requires a handwritten signature, including: wills, codicils, and testamentary trusts; adoption, divorce, and other family-law matters; court orders, notices, and official court documents; notices of cancellation or termination of utility services; notices of default, acceleration, repossession, foreclosure, or eviction, or the right to cure, under a credit agreement or rental agreement for a primary residence; notices of cancellation or termination of health or life insurance benefits (other than annuities); product recall or material safety-failure notices; documents required to accompany the transport or handling of hazardous materials, pesticides, or other toxic or dangerous materials; and UCC transactions other than those under Sections 1-107 and 1-206 and Articles 2 and 2A. This list is not complete, and other laws may add requirements. 5.4 Signer identity. We verify signers only through the steps the sender chooses (for example email delivery or an access code). We do not independently verify identity. 5.5 Signer consent. Before completing, each Signer must agree to use electronic records and signatures. We record the consent time, disclosure version, IP address, and browser information. A Signer who wants paper, or wants to withdraw consent, should contact the sender (see /esign).

6. Your content

You keep all rights to the documents, templates, and data you or your Signers submit ("Customer Content"). You give us a limited, worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Content only to provide, secure, and support the Service, and as the law requires. We don't sell Customer Content or use it for advertising. You confirm you have every right and consent needed to submit Customer Content and to have us process it. Our handling of personal data in Customer Content is governed by our Data Processing Addendum (DPA) at /dpa, which is part of these Terms for business customers.

7. Plans, free trial, and fees

7.1 Plans. Free: $0, 5 packets per month. Starter: $29 per month, 20 packets per month. Growth: $79 per month, 100 packets per month. Agency: $199 per month, 500 packets per month. Plan features and limits are listed at /pricing, and the Service enforces them. Prices are in U.S. dollars and don't include taxes. 7.2 Free trial. New workspaces get a 30-day free trial of the Growth plan. No payment method is required, and the trial never turns into a paid plan automatically. When the trial ends, the workspace moves to the Free plan unless you choose a paid plan. 7.3 Paid plans are not yet available. Paid checkout isn't open. We won't charge you unless you choose a paid plan at checkout and give your express consent there. 7.4 Automatic renewal (applies when paid plans open). When you buy a paid plan, your subscription renews automatically at the end of each billing period (monthly, or yearly if you choose yearly billing), and your payment method is charged the then-current price plus any taxes, until you cancel. Before you buy, checkout will clearly show the price, billing frequency, renewal terms, and how to cancel, and we will ask for your affirmative consent. After purchase we'll email you a confirmation with these terms and cancellation instructions. For yearly plans, we'll remind you by email 15 to 45 days before each renewal, or earlier if your state requires it. 7.5 Cancellation. You can cancel any time online in Settings → Billing, in the same way you signed up, without contacting us. You can also cancel by emailing support@inkpacket.com. Cancellation takes effect at the end of the current billing period. You keep paid features until then and are not charged again. We'll confirm cancellation by email. 7.6 Price changes. We'll give at least 30 days' notice by email before a price change applies to your subscription, and you can cancel before it takes effect. Where the law requires your consent to a price change, we will get it. 7.7 Refunds. Fees are non-refundable except where the law requires otherwise or as stated at checkout. 7.8 Paid trials. If we ever offer a trial that requires a payment method, we'll disclose the terms at signup, get your consent, and remind you before the first charge where the law requires it.

8. Availability and changes to the Service

We work to keep the Service available, but we don't promise any uptime level. Some features depend on third-party services and may be unavailable. We may change or discontinue features, and will give reasonable notice of material reductions where we can.

9. Third-party services and API

Integrations you enable (for example webhooks or your own API client) are governed by their own terms. Keep API tokens secret and respect documented limits. We may revoke tokens that are misused.

10. Confidentiality and security

We use reasonable administrative, technical, and organizational safeguards described in our Privacy Policy and DPA. No method of transmission or storage is completely secure.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, INKPACKET DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DOCUMENT, SIGNATURE, OR RECORD WILL BE VALID, ENFORCEABLE, OR ADMISSIBLE FOR YOUR PURPOSE IN ANY PLACE. INKPACKET DOES NOT PROVIDE LEGAL ADVICE.

12. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW: (A) INKPACKET WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED THEY WERE POSSIBLE; AND (B) INKPACKET'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (1) THE FEES YOU PAID INKPACKET IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (2) ONE HUNDRED U.S. DOLLARS ($100). These limits apply to every theory of liability and still apply if a remedy fails of its essential purpose. Some jurisdictions don't allow certain limits, so they apply only as far as the law permits.

13. Indemnity

If you use the Service for a business or organization, you will defend, indemnify, and hold harmless Inkpacket and its members, managers, employees, and agents from any third-party claims, losses, damages, fines, and costs (including reasonable attorneys' fees) arising from your Customer Content, your documents or transactions, your breach of these Terms (including Sections 3 and 4), or your violation of law or third-party rights.

We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice under 17 U.S.C. §512(c)(3) to our designated agent: Inkpacket, Attn: Copyright Agent, 272 Old Shackle Island Rd, Hendersonville, TN 37075; support@inkpacket.com. The notice must include: your physical or electronic signature; identification of the copyrighted work; identification of the infringing material and where it is; your contact information; a statement of good-faith belief that the use is unauthorized; and a statement, under penalty of perjury, that the notice is accurate and you are authorized to act. We may remove material and will terminate repeat infringers in appropriate circumstances. Counter-notices under §512(g) can be sent to the same agent. ### 15. Term, suspension, and termination You may stop using the Service at any time and may ask us to close your workspace at support@inkpacket.com. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, fail to pay, or as the law requires. Where reasonable, we'll give notice and a chance to export your documents first. After closure, data is kept and deleted as described in the Privacy Policy and DPA. Backups of deleted data can remain for up to 7 days. Sections 4–6 (as to responsibilities), 7.7, and 11–19 survive.

16. Governing law and venue

These Terms are governed by the laws of the State of Tennessee and applicable U.S. federal law (including the Federal Arbitration Act), without regard to conflict-of-law rules. For any matter not subject to arbitration, you and Inkpacket consent to the exclusive jurisdiction of, and venue in, the state courts located in Sumner County, Tennessee, and the United States District Court for the Middle District of Tennessee.

17. Dispute resolution: binding individual arbitration; class-action waiver

17.1 Informal resolution first. Before filing a claim, the party raising it must send a written notice describing the dispute and the relief sought, to support@inkpacket.com (for Inkpacket) or to your account email (for you). The parties will try in good faith to resolve it for 30 days. 17.2 Agreement to arbitrate. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including questions of arbitrability, will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules in effect at the time, before a single arbitrator. The arbitration will be seated in Sumner County, Tennessee, but may be held by video or on written submissions if the arbitrator allows. Judgment on the award may be entered in any court with jurisdiction. If AAA's Consumer Arbitration Rules must apply to a claim by law, those rules apply to that claim. 17.3 Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies and stays there; and (b) seek injunctive or other equitable relief in court to protect intellectual property rights or confidential information, or to stop unauthorized use or abuse of the Service. 17.4 Class-action and jury waiver. YOU AND INKPACKET EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR AWARD RELIEF TO ANYONE BUT THE INDIVIDUAL PARTY. YOU AND INKPACKET WAIVE ANY RIGHT TO A JURY TRIAL. If this subsection is found unenforceable as to a claim, that claim (and only that claim) will be decided in court under Section 16, after any individual arbitrable claims are decided. 17.5 Fees. Each party pays its own attorneys' fees unless the arbitrator awards them under applicable law. If you are an individual and show that arbitration fees would be prohibitive, we'll pay the fees the arbitrator finds necessary to prevent that. 17.6 30-day opt-out. You may opt out of this Section 17 by sending notice within 30 days after you first accept these Terms (or this version of them), by email to support@inkpacket.com with the subject "Arbitration Opt-Out", or by mail to [Company legal name pending LLC formation], Attn: Arbitration Opt-Out, 272 Old Shackle Island Rd, Hendersonville, TN 37075. Include your name, the email on your account (if any), and a clear statement that you opt out. Opting out doesn't affect any other part of these Terms. 17.7 Survival; severability. This Section survives termination. Apart from Section 17.4, if any part of this Section is unenforceable, the rest still applies.

18. Changes to these Terms

We may update these Terms. We'll post the new version with a new effective date and, for material changes, notify account users by email or in the Service at least 30 days before they take effect, except where a change is required by law or addresses security. Continued use after the effective date means you accept the change. If you don't agree, stop using the Service and cancel. Changes to Section 17 won't apply to disputes already pending or noticed.

19. General

Entire agreement (these Terms, the Privacy Policy, the DPA, and order terms); severability; no waiver; assignment (you may not assign without our consent, and we may assign in a merger, acquisition, or sale of assets); force majeure; export and sanctions compliance; independent contractors; no third-party beneficiaries; notices by email to your account address or to support@inkpacket.com; headings are for convenience only.
