These Terms of Service ("Terms") are an agreement between you and [Legal entity name — TBD], doing business as Inkpacket ("Inkpacket," "we," "us"). They cover your use of inkpacket.com and the Inkpacket e-signature service (the "Service"). By creating an account, sending a document, or signing a document through the Service, you agree to these Terms. If you're using Inkpacket for a company, you agree on behalf of that company and confirm you have authority to do so.
1. Your account
- You must give accurate information when you sign up and keep it current.
- You're responsible for keeping your password safe and for everything that happens under your account. Tell us right away with the form on this page if you think your account has been used without permission.
- Workspace owners and admins control who is invited to their workspace and what each member can do.
- You must be at least 18 years old and able to enter a binding contract to create an account.
2. Signers
Signers can review and sign documents through a link without creating an account. By signing, a signer agrees to Section 5 (electronic signatures) and to use the Service lawfully. A signer can decline to sign.
3. Acceptable use
You agree not to use the Service to:
- Break any law, or send documents that are fraudulent, deceptive, or meant to trick someone into signing.
- Impersonate another person, or sign on someone else's behalf without their authority.
- Send spam or unwanted bulk messages, including through bulk send, Web Forms, email, or SMS.
- Upload malware, or content that infringes someone else's rights.
- Try to get into another workspace's data, get around plan limits or security controls, or disrupt the Service.
- Scrape the Service or resell it without our written permission.
We may suspend or remove content or accounts that break these rules.
4. Your documents belong to you
- The sender (the workspace that uploads or sends a document) owns its documents, templates, and the data in them. We don't claim ownership of your content.
- You give us permission to store, process, transmit, and display your content only as needed to run the Service for you, including delivering it to the signers you choose and producing the completed PDF and audit trail.
- You're responsible for your documents: that you have the right to send them, that their content is lawful, and that an electronic signature is acceptable for that kind of document.
5. Electronic signatures and records
- By using the Service, you agree to do business electronically and that electronic signatures and records created through Inkpacket can be used in place of paper signatures and records, as allowed by the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).
- Do not use Inkpacket for documents that ESIGN excludes from its electronic-signature rules: wills, codicils, and testamentary trusts; adoption, divorce, and other family law matters; most UCC transactions other than sections 1-107, 1-206, and Articles 2 and 2A; court orders, notices, and official court documents; notices of utility shutoff; default, foreclosure, eviction, or repossession of a primary residence; cancellation of health or life insurance; product recall or safety notices; and documents required to accompany hazardous materials. Some documents also need extra steps such as notarization or witnesses. It is the sender's job to know whether e-signature fits a given document.
- Inkpacket provides the signing tool and the audit trail. We are not a party to the agreements you send or sign, and we don't verify the identity of signers beyond the steps the sender chooses (such as email delivery, SMS, or an access code).
- A signer who prefers paper, or who wants to withdraw consent to sign electronically, should contact the sender before signing. Withdrawing consent doesn't undo signatures already given.
- Signers can download the completed document. We recommend that senders and signers keep their own copy.
6. Plans and fees
- Every workspace currently starts on the Free plan, which has monthly limits shown on our pricing page. Card checkout is not turned on today, and we don't charge anyone right now.
- Our pricing page lists paid plans for when billing starts. Before we ever charge you, we'll show you the price and get your agreement at checkout. Paid plans will renew automatically each billing period until canceled, and you'll be able to cancel at any time, effective at the end of the current period. Unless the law requires otherwise, fees are non-refundable.
- We may change plans, prices, or limits. We'll give at least 30 days' notice before a price change affects a paid plan you're on.
- Plan limits, such as the number of packets a month or published Web Forms, are enforced by the Service.
7. Service availability and changes
- We work to keep Inkpacket available and reliable, but the Service is provided without a guaranteed uptime commitment. It may be unavailable at times for maintenance, upgrades, or problems outside our control.
- Some features rely on outside services (such as email delivery) and only work when those services are set up and working. SMS, Google Drive, and payment processing are coming soon.
- We may add, change, or remove features. If we remove a major feature you rely on, we'll try to give reasonable notice.
8. Third-party services
If you connect Inkpacket to an outside service (for example, Google Drive, a webhook, or your own app through our API), your use of that service is governed by its own terms. We're not responsible for outside services.
9. API
If you use the Inkpacket API or webhooks, keep your API tokens secret, follow any documented rate limits, and don't use the API to get around these Terms. We may revoke a token that's being misused.
10. Privacy
Our Privacy Policy explains how we handle personal information. By using the Service, you agree that we can use information as described there.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON'T PROMISE THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DOCUMENT SIGNED THROUGH IT WILL BE LEGALLY ENFORCEABLE FOR YOUR PURPOSE. INKPACKET DOES NOT GIVE LEGAL ADVICE.
12. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW:
- WE WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
- OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WON'T BE MORE THAN THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.
Some places don't allow these limits, so they may not fully apply to you.
13. Indemnity
If you use the Service for a business, you agree to defend and cover Inkpacket against claims, losses, and costs (including reasonable attorneys' fees) that come from your documents, your use of the Service, or your breaking these Terms or the law.
14. Ending your use
- You can stop using the Service at any time. The product does not yet close a workspace from the desk. Download any documents you want to keep, then submit a request on this page. Deletion timing is described in the Privacy Policy and is not a fixed number of days.
- We may suspend or close an account if it breaks these Terms, creates risk or legal exposure for us or others, or has been inactive for a long period. When possible, we'll give notice and a chance to download your documents first, unless the law or the seriousness of the problem prevents it.
- After a workspace is closed, we'll delete its content as described in our Privacy Policy.
- Sections that by their nature should survive (such as document ownership, disclaimers, limitation of liability, indemnity, and governing law) continue after these Terms end.
15. Governing law and disputes
These Terms are governed by the laws of the State of Tennessee and applicable U.S. federal law, without regard to conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Sumner County, Tennessee, and you and we agree to the jurisdiction of those courts. [Attorney to confirm venue, and whether to add arbitration or a class-action waiver.]
16. Changes to these Terms
We may update these Terms. If we make a significant change, we'll post the new version here with a new date and, where appropriate, notify account users by email or in the Service before it takes effect. If you keep using the Service after the change takes effect, you accept the updated Terms.
17. Other terms
These Terms, together with the Privacy Policy, are the whole agreement between you and Inkpacket about the Service. If any part is found unenforceable, the rest still applies. If we don't enforce a right right away, we haven't waived it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, or sale of assets.
18. Contact us
Questions about these Terms: use the form below. It is saved for Inkpacket operators. A support mailbox is not listed because delivery to a person has not been confirmed.
